Spanberger intervenes in Dominion's $67B merger

Gov. Spanberger says she plans to intervene in the proposed $67 billion merger of Richmond-based Dominion Energy and Florida-based NextEra Energy.
Why it matters: Virginia's governor is positioning herself to influence a proposal to create the world's largest electricity company before state regulators rule on it.
State of play: Spanberger argues the deal to effectively sell Virginia's largest state-regulated utility — and one of the Richmond region's largest employers — to an out-of-state company warrants intervention from the governor's office.
- Spanberger announced the move in a Washington Post op-ed published Thursday, calling it an "unprecedented" step for a Virginia governor to participate in the state's upcoming regulatory hearing.
- The size of the deal — and the potential impact on Dominion's more than 2.7 million Virginia electric customers — was too big to ignore, she wrote.
- Speaking with reporters later Thursday, Spanberger said the companies' promised savings and securities "are not sufficient" without stronger guarantees that future rate increases won't erase those benefits.
Zoom in: If granted intervenor status in the State Corporation Commission hearings — which are slated to begin on Nov. 5 — Spanberger could call and cross-examine witnesses, per the SCC.
The governor says her involvement will focus on three issues:
- Whether the deal brings sustained savings to Virginians' power bills.
- Whether it ensures long-term job security for Dominion's roughly 10,000 Virginia workers.
- Whether the merged company has a clear plan for producing reliable, clean energy.
The other side: "We welcome the governor's participation in the regulatory process and agree with her priorities of affordability, protecting Virginia jobs and supporting the Commonwealth's energy future," Dominion CEO Robert M. Blue said in a statement.
- "Those priorities are at the core of this proposal," he added.
The intrigue: Anyone can get involved in an SCC case by submitting public comments or testifying as a public witness, SCC spokesperson Greg Weatherford tells Axios.
- Intervenors, however, are granted additional rights by the commission, like calling witnesses. Governments, consumer advocates and environmental groups are among those that can receive that status.
- Spanberger wrote in her op-ed that she's the first Virginia governor to seek intervenor status. Weatherford said he's not aware of any earlier cases where one did.
Catch up quick: Dominion and NextEra Energy announced the all-stock merger plans in May, saying their combined customers would benefit from increased scale and efficiency from the mega-company.
- The companies have pledged two years of bill credits for Dominion's customers, 18 months of job protections for employees and 24 months of compensation and benefit guarantees.
- They filed their acquisition petition on July 15, triggering the mandatory six-month regulatory review.
What's next: If approved, the deal is expected to close in the second half of 2027, per Dominion.
