⚖️ Situational awareness: The House yesterday voted to hold Leon Black in contempt, which could set the stage for federal criminal prosecution.
- Black, the billionaire founder and former CEO of Apollo Global Management, recently refused to appear in front of the House Oversight Committee for a second round of questions over his ties to Jeffrey Epstein. He also refused to comply with a subpoena for copies of NDAs to which he's been a party.

Top of the Morning
Rivals are seeking to derail the $85 billion merger between Union Pacific and Norfolk Southern, which would create the first U.S. carrier running coast-to-coast, Axios Pro's Colin Campbell reports.
Driving the news: BNSF last week said it will ask the Surface Transportation Board for access to 824 miles of trackage from Chicago to Harrisburg and Bethlehem, Pennsylvania.
- CPKC and CSX, meanwhile, want access to trackager between Kansas City to St. Louis — arguing that Union Pacific's recent deal with Canadian National doesn't go far enough to restore competition.
The big picture: Union Pacific said in May that it would walk away from the merger if the STB grants such remedies, which would require it to pay a $2.5 billion breakup fee to Norfolk Southern.
- And that's no small thing, given that Union Pacific reported having only $2.11 billion of cash and cash equivalents as of June 30.
Catch up quick: The deal was announced in July 2025 and is scheduled to close by early 2028.
Zoom in: None of the access asks are a surprise, nor are they guaranteed regulatory approval. It's also unclear if they're mostly about adding trackage or just backdoor efforts to scuttle the merger.
- But they could put the STB in a bit of a political bind, given that Union Pacific has donated to the White House ballroom project.
- The STB could approve both the access requests and the merger, hoping that Trump isn't digging too deep into the weeds (i.e., merger approval = good).
- But if Union Pacific complains to the administration, let alone follows through on its threat to bail, then there could be blowback.
Look ahead: The formal access asks are due by mid-November, with the STB expected to rule sometime next year.
The BFD
Siguler Guff & Co. has raised more than $3 billion for its sixth small-cap buyout fund.
Why it's the BFD: It's a reminder that there's big money in small deals, despite our tendency to focus on larger transactions.
Behind the scenes: The fund already is around 50% committed, with a split strategy between funds-of-funds and co-investments. It's the largest such vehicle Siguler Guff has ever raised, with expectations that the portfolio will be a bit larger than predecessors but that most of the excess cash will be used to increase ownership positions.
The bottom line: Small-cap buyouts are being driven by three main factors:
- There are hundreds of thousands of possible targets (i.e., most American businesses); usually companies held by families or founders that have never raised institutional capital.
- Such deals use relatively little leverage, which is a net positive as rates rise.
- There's a glut of midmarket fund capital, which creates exit opportunities once companies have grown (either organically or inorganically).
