Vista Outdoor shareholders OK Czech ammo deal after yearlong saga

Zoom in: With the Czechoslovak Group now cleared to own the company's ammo unit, Vista Outdoor will move onto the next phase of its corporate breakup.

• After the CSG sale closes, Vista will spin off its outdoor gear business, Revelyst, into a public company, traded on the New York Stock Exchange.
• That business will then be acquired by investment firm Strategic Value Partners for $1.1 billion. The deal is set to close in January 2025.

Flashback: Vista Outdoor originally announced plans to separate the two businesses in May 2022, setting off the longest corporate bidding war this year.

• MNC Capital, an investment firm run by Mark Gottfredson, a former Vista board member, aggressively pursued the ammo business in a counter-bid that nearly derailed CSG's agreement.
• MNC later tried to buy the entire company, a move that forced Vista to move its CSG shareholder vote at least six times.

What's next: Once Strategic Value Partners receives regulatory and other approvals, it will take Revelyst private, with Revelyst shareholders earning around $19.25 per share.
