C.H. Robinson Worldwide will acquire RXO for $5.8 billion in cash and stock, the companies announced Monday.

The big picture: C.H. Robinson took a five-year pause from dealmaking before acquiring cold-chain specialist DeSpir Logistics in June for $75 million.

Zoom in: The deal will further scale the largest North American freight brokerage, boosting its enterprise value to more than $25 billion.

Minneapolis-based C.H. Robinson expects to realize about $300 million of net run-rate cost synergies within two years of the deal's close.

Charlotte, N.C.-based RXO was spun off by XPO, roll-up specialist Brad Jacobs' logistics conglomerate, almost four years ago.

Between the lines: Activist investor MFN Partners, which controlled about 17% of RXO shares, voted in support of the deal.

What's inside: The deal will expand C.H. Robinson's proprietary datasets, allowing it to grow its AI-driven sales, load matching and procurement capabilities.

Context: Freight brokerage competitor Echo Global Logistics is weighing an IPO, Axios Pro has reported.

Follow the money: The cash will be financed with new debt financing, and C.H. Robinson has entered into a fully underwritten commitment for a bridge facility with Morgan Stanley.

The deal represents a 27% premium to RXO's 90-day volume-weighted average price and 29% to RXO's closing price on Friday.

What's next: The deal's expected to close in the first half of 2027.
